Seller: Lovely’s Food GmbH, Eilenburger Str. 79d, 04860 Torgau, Germany.
1. Scope
These Terms & Conditions of Sale (“Terms”) apply to all wholesale supply contracts concluded between Lovely’s Food GmbH (“Seller”) and the purchaser (“Buyer”) for the delivery of goods specified in the order. Unless explicitly agreed in writing, no other terms apply.
2. Offer & Conclusion of Contract
Offers from the Seller are subject to change and non-binding unless explicitly stated as binding. A contract is concluded when the Seller accepts the Buyer’s order in writing or via email.
3. Prices & Payment
Prices are ex-warehouse Torgau, excluding packaging, shipping, value-added tax (VAT) unless otherwise agreed. Payment terms: [Insert terms, e.g., 30 days net]. Late payments may incur interest and/or suspension of delivery.
4. Delivery & Transfer of Risk
Delivery terms: [Insert, e.g., EXW Torgau, FCA or DAP depending on Incoterms agreed]. Delivery dates are only approximate and not guaranteed unless expressly confirmed as binding. Risk passes to the Buyer when the goods leave the warehouse.
5. Quality & Inspection
Goods shall conform to the agreed product description and EU food-safety standards. The Buyer must inspect goods upon delivery and report any defects (visible) within [e.g., 5 business days] and hidden defects within [e.g., 10 days after discovery].
6. Liability & Warranty
Unless otherwise required by mandatory law, the Seller’s liability is limited to [Insert limit, e.g., replacement of goods or refund of purchase price]. The Seller is not liable for indirect or consequential damages.
7. Retention of Title
The goods remain the property of the Seller until full payment has been received. The Buyer is authorised to sell the goods in the ordinary course of business, provided they observe the Seller’s rights.

The Buyer consents to the Seller processing personal data for purposes of the business relationship, in line with the Privacy Policy.
9. Governing Law & Jurisdiction

10. Miscellaneous
If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in full force. Deviations must be agreed in writing.
